Official: Adobe Systems Acquires Omniture for $1.8 Billion

Adobe Company declared that it has concluded an agreement with Omniture with the view of acquisitioning the latter for a sum of nearly $1.8 billion on the base of a completely diluted equity-value.

Web analytics company, Omniture was set up in 1996 and nowadays employs 1,200 people all around the world. Omniture represents the biggest web analytics organization on the Globe. Its portfolio of products comprises twelve software programs and applications that meet the needs of more than 5,000 clients worldwide. The revenues recorded by the web analytics organization during the financial year 2008 were approximately $300 million.

Under the stipulations of the agreement, Adobe Systems is obliged to purchase all of the outstanding common stock of Omniture on the form of a tender offer at the price of $21.50 per share, all transactions being paid in cash. This offering from Adobe`s behalf represents a gain of 45 percents above Omniture`s average ending price for the final thirty days according to the statistics of yesterday`s close.

Depending on regulatory acceptance, the transaction is expected to be closed in the fourth quarter of Adobe System`s financial year. The organization thinks that Omnitur`s acquisition will increase its non-GAAP gains for the year 2010.

After the acquisition is completed, Omniture will be transformed in one of Adobe`s business units. Josh James the CEO of Omniture is going to become the unit`s Senior Vice-president when it is incorporated in Adobe. He will be the subordinate of Adobe System`s CEO, Mr. Shantanu Narayen .

During this period, the earnings of Adobe shares from the third quarter decreased from 50 cents per share which was reported a year ago to almost 35 cents per share. Thus, the software company recorded a drop of 3.6 percents getting to $34.34 in prolonged trading. However, Omniture`s shares were stopped after the closing.

This optimization will enable advertisers and advertising agencies, publishers, and e-tailers to realize greater ROI from their digital media investments and improve their end users’ experiences.”
